Nextstock Terms of Service

Nextstock is a Shopify app that tells you when to reorder stock. These terms are the agreement between your business and us for using it. Please read them. They are short on purpose.

The short version. Nextstock suggests what to reorder and when. You decide what to buy. We do our best, but we cannot promise the forecast will be right, and we are not responsible for what you buy or do not buy. You pay a monthly fee through Shopify. You can stop any time by uninstalling the app. If something goes wrong, the most we owe you is what you paid us in the last 12 months.

1. Who this agreement is between

You are the business that installs Nextstock on its Shopify store. If you install the app, you confirm that you have the authority to agree to these terms for that business, and that you are at least 18 years old. Nextstock is a business tool. It is not for personal or household use.

We are BROJAS LLC, an Arizona limited liability company, doing business as Nextstock. When these terms say "we", "us" or "Nextstock", they mean that business.

About Shopify. Shopify is not a party to this agreement. Your use of Shopify is covered by your own agreement with Shopify. We alone are responsible for Nextstock. Shopify is not responsible or liable for any fault in Nextstock, and Shopify does not provide support for it.

These terms include our Privacy Policy and, if it applies to you, our Data Processing Agreement (see section 8). If those documents and these terms disagree about how we handle data, the Data Processing Agreement wins, then the Privacy Policy, then these terms.

2. What Nextstock is

Nextstock reads your sales history, your product list and your stock levels from Shopify. It works out how much you are likely to sell, and it shows you a reorder list: which products to reorder, how many, and when, with a one-line explanation for each number. It uses forecast settings such as supplier lead times, minimum order quantities and pack sizes. Until you set your own, where the app lets you, it uses default values, and those defaults may not fit your suppliers.

That is the whole service. We may add features, change how existing features work, or remove features that few merchants use. Where a change takes something material away, we will tell you first.

3. What Nextstock is not

This section matters more than any other, so it is near the top.

Nextstock is decision support. It does not make decisions for you. Every reorder suggestion is a suggestion. You choose whether to place an order, with whom, for how many units, and when. Nextstock does not place orders with your suppliers and does not change your inventory in Shopify.

We do not guarantee that any forecast or suggestion is accurate. Forecasts are estimates built from your past sales. The future can differ from the past. A supplier can be late. A product can go viral, or die. Your Shopify data can be incomplete or wrong, and we can only work with what Shopify gives us. Where we show a range or a confidence level, it is our honest estimate of uncertainty, not a promise.

You are responsible for the results of your purchasing decisions. That includes running out of stock, ordering too much, tying up cash, paying supplier fees, and any other cost of an order you placed or did not place. Check the numbers against your own knowledge of your business before you act on them.

Nextstock is not accounting, tax, legal, financial or purchasing advice. Forecasts and suggestions are estimates for your information. Do not rely on them as advice.

You are not relying on any promise we have not written down. When you agree to these terms, you confirm that you are not relying on any forecast, accuracy figure, demo, sales email or other statement about Nextstock that is not written in these terms.

How the forecast is made. Nextstock runs a forecasting model on our own servers. To make your forecasts it may fit simple statistical models to your own store's data. You allow us to do that. Those fitted models are used only for your store and are not kept after the run. We do not use your data to train or improve models for other stores or for anyone else, and we do not send it to any outside AI service.

4. Your account and access

You use Nextstock through your Shopify admin. There is no separate Nextstock login. Whoever you allow into your Shopify admin with access to apps can use Nextstock on your behalf, and you are responsible for what they do with it.

To work, Nextstock needs the permissions Shopify shows you at install: to read your orders, products, inventory levels and locations. If you take those permissions away, the app will stop working or work badly.

Keep your Shopify account secure. If you think someone has used Nextstock through your store without permission, tell us and tell Shopify.

5. Fees, trials and billing

Free trial. Every new install gets a free trial of 14 days. The trial starts when you pick a plan in Shopify. The app asks you to pick one the first time you open it, so for most stores the trial starts on the day they install. You do not pay anything during the trial. If you uninstall before the trial ends, you owe nothing.

Subscription. After the trial, Nextstock is a monthly subscription. Plans are priced by how many orders your store gets in a month. The current plans and prices are shown inside the app and on our Shopify App Store listing. Shopify will ask you to approve the plan before the trial starts. You need an approved plan to see your reorder list.

Billing through Shopify. All charges are made through Shopify Billing and appear on your Shopify bill. We do not take your card details. Shopify's billing terms apply to how and when you are charged. Prices are in US dollars unless Shopify shows them to you in another currency.

Order counts. Your plan covers up to a set number of orders per month. We count the orders from the last 30 days that the app reads for your forecast; test orders and cancelled orders are not counted. If your store goes over that number, we will keep the app working and ask you to move to the next plan. If you stay over the limit after we have asked, we may move you to the plan that matches your order volume, after telling you and with Shopify's approval step, or limit or end the service.

Plan changes. You can move up or down between plans inside the app, without contacting us. Shopify works out any extra charge or credit for the change and shows you the amount before you approve it. The new plan starts once you approve it.

Price changes. We may change prices. We will give you at least 30 days' notice inside the app or by email to your store's contact email before a price change affects you. Shopify will ask you to approve any new charge. If you do not want to pay the new price, uninstall the app before the change takes effect.

Taxes. Our prices do not include sales tax, VAT, GST or similar taxes. If any tax applies, Shopify or we will add it to your bill, unless you give us a valid exemption.

Cancellation. To cancel, uninstall Nextstock from your Shopify admin. Shopify then cancels your subscription straight away. Shopify's billing rules decide the last charge, and a charge Shopify has already created is still due. We do not refund charges for the current billing period or for part of a month, unless the law where you are requires it. We may give a refund or credit in a case we choose, for example if we charged you by mistake; that does not oblige us to do it again. Reinstalling starts a new subscription that you approve again in Shopify. Each store gets one free trial; a new trial on reinstall is not guaranteed.

7. Your data

It is yours. Your sales, product and inventory data belongs to you. So do the reorder suggestions we produce for your store. You can use them however you like.

What we may do with it. You give us permission to read, store and process your store data, but only to provide Nextstock to you, keep it secure, fix problems, and meet our legal duties. We do not sell your data. We do not use it for advertising. We do not share it with anyone except the providers named in our Privacy Policy and the cases listed there.

What we do not take. We do not store your customers' names, emails, addresses, phone numbers or IP addresses. We do not even ask Shopify for them. Our Privacy Policy explains exactly what we do take and why.

How long we keep it. We keep your store data while Nextstock is installed. When you uninstall, we stop reading your store straight away, and about 48 hours later we delete your store record, settings and all of the sales, product and stock data we pulled. If you want it gone sooner, email [email protected]. The full rules, including the small proof records that survive deletion, are in the Privacy Policy.

Your responsibility. You are responsible for having the right to give us the data we read from your store, and for what you put into any settings or free-text fields in the app.

8. Data protection agreement

If you are in the European Economic Area, the United Kingdom or Switzerland, our Data Processing Agreement applies to how we process your store data as your processor, and forms part of these terms. If you are anywhere else and want it to apply, email [email protected] and we will confirm it in writing.

9. Intellectual property

We own Nextstock: the software, the forecasting models, the design, the name and the logo. Nothing in these terms gives you ownership of any of that. While your subscription is active, we give you a limited, non-exclusive, non-transferable licence to use the app for your own business.

If you send us feedback or ideas, you agree we can use them to improve Nextstock without owing you anything. We will not name you without your permission.

Shopify, Polaris and App Bridge belong to Shopify. Chronos and other third-party components belong to their owners and are used under their licences.

10. Availability and support

We run Nextstock with reasonable care and skill, and we try to keep it running around the clock. But Nextstock is run by a small team, and we do not promise any particular uptime. The service may be unavailable during maintenance, because of a problem at Shopify, our hosting provider or our network provider, or because of a fault of our own. Where we can, we will warn you about planned maintenance inside the app.

The forecast normally runs once a day. If a run fails, the app shows you the last good result and we work on the fix.

Support is by email. Write to [email protected]. We aim to reply within two business days. That is a target, not a promise. We do not offer phone support.

We do not offer service credits or an SLA.

11. Warranties and disclaimers

Apart from what these terms say in plain words, NEXTSTOCK IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE EXTENT THE LAW ALLOWS, WE MAKE NO OTHER PROMISES, WRITTEN, SPOKEN OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. That includes any promise that the app will meet your needs, will be error-free, or that any forecast or suggestion will be accurate (see section 3).

Some places do not allow certain warranties to be excluded. If that is true where you are, the exclusions above apply only as far as the law allows.

12. Term, suspension and ending

Term. This agreement starts when you install Nextstock and ends when you uninstall it, or when either of us ends it under this section.

Suspension. We may suspend your access, with as much notice as we reasonably can give, if: a charge fails and is not fixed after Shopify's retries; we believe your use is a security risk to us or to other stores; you break section 6; or Shopify asks us to. We will lift the suspension when the reason is gone.

Ending by you. Uninstall the app at any time.

Ending by us. We may end this agreement for any reason with at least 30 days' notice to your store's contact email. We may end it straight away if you seriously break these terms and do not fix it within 10 days of us telling you, or if the breach cannot be fixed. We may also end it if we stop offering Nextstock altogether, with at least 30 days' notice.

After it ends. Your access stops. Your data is deleted as described in section 7 and the Privacy Policy. Any fees already due stay due. Sections 3, 5 (for fees already due), 7, 9, 11, 13, 14, 16 and 17 keep applying.

13. Limitation of liability

The cap. TO THE EXTENT THE LAW ALLOWS, OUR TOTAL LIABILITY TO YOU FOR EVERYTHING ARISING OUT OF OR CONNECTED WITH NEXTSTOCK OR THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), UNDER STATUTE OR OTHERWISE, IS LIMITED TO THE TOTAL FEES YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT THAT GAVE RISE TO THE CLAIM. If you have paid us nothing, for example during a trial or a free period, our total liability is limited to 100 US dollars. This is one cap for all claims together, not a cap per claim.

What we are not liable for. To the extent the law allows, we are not liable for: lost profits, lost sales or lost revenue; the cost of stock you ordered or did not order, including stock you could not sell or stock you ran out of; supplier charges; lost or damaged data; loss of goodwill; or any indirect, special or consequential loss, even if we knew it was possible.

What this section does not limit. Nothing in these terms limits or excludes liability that the law does not allow to be limited or excluded. That includes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for wilful misconduct, and, where the law says so, for gross negligence.

Why the cap is where it is. Our fees are small compared to the value of the stock you buy. The cap reflects that. If you need more protection than this, buy insurance or do not rely on the app for decisions of that size.

14. Indemnity

By you. You will cover us for any third-party claim, and the reasonable costs of dealing with it, that arises from: your breach of section 6; data you gave us that you did not have the right to give; or your use of the reorder suggestions in a way these terms do not allow.

By us. We will cover you for any third-party claim, and the reasonable costs of dealing with it, that says Nextstock, as we supplied it and as you used it under these terms, infringes that third party's intellectual property rights. We do not cover claims caused by your own data, by changes you made, or by combining Nextstock with something we did not supply. If such a claim arrives, we may fix the app, replace the affected part, or end this agreement and refund any fees you prepaid for the period after it ends.

How it works. The party being covered must tell the other promptly, let the other control the defence and settlement, and give reasonable help. Neither party may settle a claim in a way that admits fault on the other's behalf without consent. Section 13 applies to this section.

15. Changes to these terms

We may change these terms. When we do, we will post the new version at https://nextstock.app/terms and update the effective date. If the change matters to you, we will tell you inside the app or by email to your store's contact email at least 14 days before it takes effect. If you keep using Nextstock after that date, you accept the new terms. If you do not accept them, uninstall the app before the date. A change does not apply to a dispute that started before the change took effect.

Changes needed to comply with the law, or with a Shopify requirement, may take effect sooner.

16. Governing law and disputes

These terms are governed by the laws of the State of Arizona, United States, without regard to its rules on conflict of laws. Any dispute that we cannot settle by talking will be dealt with only by the state courts in Maricopa County, Arizona, or the federal court for the District of Arizona, and both of us agree to those courts. Either of us may instead bring a claim in a small claims court (in Arizona, the justice court's small claims division) where the claim qualifies. Where the law where you are gives you the right to bring a claim locally that cannot be taken away, this section does not take it away.

Before either of us starts a claim, we agree to email the other with a description of the problem and give the other 30 days to try to fix it.

One business at a time. To the extent the law allows, each of us may bring claims against the other only on its own behalf, not as a member of a class or in a representative action.
